WHOLESALE BUSINESS TERMS AND CONDITIONS

1. About These Terms

1.1 Company details. We are Vault Editions Ltd. We are registered in England and Wales with company number 13046437, and we have our registered offices at 31 View Road Rainhill, Prescot, Merseyside, United Kingdom, L35 0LF. Our main trading address is Vault Editions c/o Soho Works, 2 Television Centre, 101 Wood Lane, London W12 7FR, United Kingdom. 

1.2. Business customers only. These terms apply if you buy wholesale products from Vault Editions as a business. They do not apply to consumers.

2. Pricing and Discounts

2.1 The Publisher will supply a line sheet or link to a website with product prices, including a recommended retail price. The Retailer shall purchase books at a 50% discount from the Publisher's recommended retail price.

3. Ordering Process

3.1 Orders must be placed by:

3.2 Expected Shipping Timelines: Vault Editions will confirm a delivery date within two (2) business days of receipt of full payment unless otherwise notified.

4. Payment Terms

4.1 Full payment is required when you place your order to ensure prompt processing and delivery.

4.2 Accepted payment methods: Debit Card, Credit Card, Paypal and Bank Transfer upon request.

4.3 Invoices will be sent to the Retailer via email.

4.4 The Retailer shall bear any exchange rate fluctuations or transaction fees.

5. Delivery and Shipping

5.1 The Publisher will ship orders to the Retailer's specified address.

5.2 Shipping Costs:

  • The Publisher will pay standard / Economy Shipping for orders over 20 units.
  • If the Retailer elects to use Express shipping options or orders below 20 units, the Retailer will pay for the shipping.

5.3 Ownership and Risk: Upon courier delivery confirmation, ownership and risk transfer to the Retailer.

5.4 Customs and Duties: The Retailer shall be responsible for paying all customs duties, taxes, and import fees associated with the delivery of books to their specified location. Any delays or additional costs incurred due to unpaid customs or duties shall be the sole responsibility of the Retailer.

6. Damaged Books Policy

6.1 Notification of Damage: Any books received in a damaged condition must be reported to Vault Editions via email at michelle@vaulteditions.com within 24 hours of delivery. Reports must include photographic evidence clearly showing the extent of the damage and the packaging condition upon arrival.

6.2 Resolution Options: For books verified as damaged in transit, Vault Editions will, at its discretion:

  • Reprint and ship replacements at no additional cost to the Retailer or
  • Issue a credit equivalent to the value of the damaged books, to be applied toward the Retailer's future order.

6.3 Exclusions: Vault Editions reserves the right to reject claims submitted after the 24-hour notification period or those lacking sufficient photographic evidence.

6.4 Shipping Responsibility: If replacement books are reprinted and shipped, Vault Editions will cover the shipping costs for these replacements.

7. Returns and Order Amendments Policy

7.1 No Returns: All sales made by Vault Editions are final. Vault Editions does not accept returns under any circumstances, except in cases of damage during transit, as outlined in our Damaged Books Policy.

7.2 Order Amendments: Amendments to orders, including changes to quantities, must be submitted to Vault Editions via email at michelle@vaulteditions.com as soon as possible and before the order enters production. While Vault Editions will make every effort to accommodate such requests, it reserves the right to decline amendments if they cannot be reasonably implemented.

7.3 Fulfilled Orders: Once an order has been fulfilled, any changes or adjustments will be considered solely at the discretion of Vault Editions. Additional charges may apply for amendments made after fulfilment.

8. Digital Rights

8.1 The Retailer may sell the Publisher's physical books in stores or online but cannot distribute or reproduce digital content in any form.

8.2 Digital downloads included with Vault Editions books are for customer use only and cannot be sold or shared separately.

9. Liability and Indemnity

9.1 The Publisher's liability is limited to the wholesale value of books supplied under this Agreement. The Publisher is not responsible for the following:

  • Losses due to delayed shipments.
  • The Retailer's resale performance or any claims arising from third-party buyers.

9.2 The Retailer agrees to indemnify the Publisher against claims arising from misuse, misrepresentation, or any third-party claims arising from the Retailer's sale or distribution of the books.

9.3 Under no circumstances shall the Publisher be liable for indirect, incidental, consequential, or special damages, including loss of profits, even if advised of the possibility of such damages.

10. Intellectual Property Rights

All copyrights, trademarks, and intellectual property related to the books remain the exclusive property of the Publisher. The Retailer may not reproduce or distribute the books beyond the terms of this Agreement. The Publisher reserves the right to take legal action to protect its intellectual property rights.

11. Confidentiality

The Retailer agrees to keep confidential all pricing, discounts, and other proprietary information the Publisher provides.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed by the laws of England and Wales. Each Party agrees to submit to the jurisdiction of English courts or the courts of the Retailer's residence.

13. Dispute Resolution

The Parties agree to attempt to resolve any disputes arising under this Agreement through good-faith negotiations. If the dispute cannot be resolved, it shall be referred to mediation or arbitration before pursuing legal proceedings.

14. Amendments

Any amendments to this Agreement must be made in writing and signed by both Parties.

15. Force Majeure

Neither Party shall be held liable for failure to fulfil obligations due to circumstances beyond their reasonable control, such as natural disasters, strikes, acts of war, government-imposed restrictions, pandemics, or supply chain disruptions.

16. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or understandings.
